Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Hostbase platform, including all related services, features, and applications (collectively, the “Service”), provided by Only Ventures LLC, a Wyoming limited liability company (“Hostbase,” “we,” “us,” or “our”).

By creating an account, accessing the Service, or using any part of the platform, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

1.1 What Hostbase Is

Hostbase is a cloud-based, AI-native property management platform designed for short-term rental operators. The Service provides an integrated suite of tools that replaces the need for separate property management software, channel managers, dynamic pricing tools, and guest communication systems.

1.2 Core Features

The Service includes, but is not limited to, the following capabilities:

Property Management. Calendar management, reservation tracking, room assignment, unit management, and late checkout processing for short-term rental properties with unlimited listings per property.

Channel Management. Automated distribution of rates, availability, and restrictions across online travel agencies (“OTAs”) including Booking.com, Airbnb, Expedia, Vrbo, and other supported channels. Synchronization occurs in real time, on demand, and via scheduled daily sync.

Dynamic Pricing. AI-powered rate optimization based on occupancy pace, revenue targets, day-of-week demand patterns, and configurable guardrails including minimum and maximum rate boundaries per room type.

Derived Rate Plans. Automated channel-specific rate calculation that applies configurable markup percentages to a base rate, allowing operators to maintain different pricing across OTAs while managing a single set of rates.

Promotional Campaigns. A scheduled discount campaign engine with separate booking and stay windows, percentage or fixed-amount discounts, room type targeting, and multi-channel distribution. Promotions layer on top of dynamic pricing.

Guest Messaging. A unified inbox that aggregates guest messages from all connected OTAs into a single thread view, with the ability to reply directly from the platform.

Revenue Analytics. Real-time tracking of occupancy, revenue, OTA commissions, net revenue, and channel performance with per-booking commission extraction.

Email Notifications. Automated notifications for new bookings, modifications, cancellations, room shuffles, and guest messages.

White-Label Branding. The ability for operators to present the platform under their own brand, including custom logo, colors, and subdomain. Custom domain support is available as a premium add-on.

AI Assistant and MCP Integration. AI-powered operational tools accessible through Claude and ChatGPT via the Model Context Protocol (MCP), providing read-only access to property data, analytics, and operational insights.

Landlord Reporting. A branded portal through which property owners can view performance reports, statements, and analytics for properties managed by the operator.

1.3 What Hostbase Is Not

Hostbase is a technology platform. We do not own, operate, or manage any properties. We do not set rates, accept bookings, or communicate with guests on your behalf unless you configure the platform to do so. You are solely responsible for your property operations, guest relations, pricing decisions, and compliance with local laws and regulations governing short-term rentals.

2. Eligibility and Account Registration

2.1 Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2.2 Account Creation

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

2.3 One Account Per Organization

Each account is associated with a single organization. Multi-property operators manage all their properties within a single organizational account. You may not create multiple accounts to circumvent usage limits or pricing tiers.

3. Subscription and Billing

3.1 Pricing Model

Hostbase charges a flat monthly fee per property. The fee varies by subscription tier and is published on our website. All tiers include unlimited listings per property. A property with 100 rooms pays the same rate as a property with 10 rooms under the same tier.

3.2 Subscription Tiers

We offer multiple subscription tiers with different feature sets. The specific features, pricing, and property limits associated with each tier are described on our pricing page at hostbase.ai and may be updated from time to time.

3.3 Payment

Payments are processed through Stripe. By subscribing, you authorize Hostbase to charge your designated payment method on a recurring monthly basis. All fees are quoted in US dollars and are non-refundable except as required by applicable law.

3.4 Changes to Pricing

We may change our pricing with at least 30 days written notice. Price changes will take effect at the start of the next billing cycle following the notice period. If you do not agree to the new pricing, you may cancel your subscription before the new pricing takes effect.

3.5 Taxes

All fees are exclusive of applicable taxes. You are responsible for any sales, use, value-added, or other taxes imposed by any jurisdiction on the amounts payable under these Terms, other than taxes based on Hostbase’s net income.

3.6 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods. Upon cancellation, your access to the Service will continue until the end of the paid period, after which your account will be deactivated.

4. Your Data

4.1 Ownership

You retain all rights to the data you submit to or create within the Service (“Your Data”), including property information, reservation records, guest information, rate configurations, and analytics data. Hostbase does not claim ownership of Your Data.

4.2 License to Hostbase

You grant Hostbase a limited, non-exclusive, worldwide license to use, process, store, and transmit Your Data solely for the purpose of providing and improving the Service. This license terminates when you delete Your Data or when your account is terminated.

4.3 Data Portability

You may export Your Data at any time during the term of your subscription. Upon account termination, we will make Your Data available for export for 30 days. After that period, Your Data may be permanently deleted.

4.4 Data Security

We implement industry-standard security measures to protect Your Data, including encryption in transit (TLS 1.3), encryption at rest, row-level security policies, and access controls. Our infrastructure is hosted on Supabase with data stored in secure, managed PostgreSQL databases. While we take reasonable precautions, no method of electronic storage or transmission is 100% secure, and we cannot guarantee absolute security.

4.5 Guest Data

Your account may contain personal information about your guests, including names, contact details, and booking history. You are responsible for complying with all applicable privacy laws and regulations regarding the collection, storage, and processing of guest personal information. You represent that you have obtained all necessary consents from guests for the processing of their personal data through the Service.

5. Third-Party Integrations

5.1 Channel Manager

The Service integrates with Channex, a third-party channel management platform, to distribute rates, availability, and restrictions to connected OTAs. By using the channel management features, you acknowledge that your property data, rates, and availability information will be transmitted to Channex and subsequently to any OTAs you connect.

5.2 OTA Connections

When you connect your properties to OTAs through the Service, you are subject to the terms, policies, and commission structures of each OTA. Hostbase is not a party to any agreement between you and an OTA. We are not responsible for the actions, policies, or fees of any OTA, including changes to commission rates, content policies, or listing requirements.

5.3 Payment Processing

Payment processing is handled by Stripe, Inc. By using the Service, you agree to Stripe’s terms of service and privacy policy as applicable to payment processing. Hostbase does not store your full credit card information.

5.4 AI Services

Certain features of the Service use artificial intelligence models for dynamic pricing calculations, rate optimization, and operational insights. AI-generated recommendations are advisory. You are solely responsible for reviewing and approving all pricing decisions and operational actions taken through the Service.

6. Acceptable Use

6.1 You Agree To

Use the Service only for lawful purposes related to the management of short-term rental properties. Provide accurate and truthful information in your account, property listings, and rate configurations. Maintain the security of your account credentials. Comply with all applicable laws, regulations, and OTA policies in your jurisdiction.

6.2 You Agree Not To

Use the Service for any illegal activity or in violation of any applicable law or regulation. Attempt to gain unauthorized access to other users’ accounts, data, or any part of the Service infrastructure. Reverse engineer, decompile, or disassemble any part of the Service. Use the Service to transmit malware, spam, or any harmful content. Resell, sublicense, or redistribute access to the Service to third parties, except through the white-label features included in your subscription tier. Circumvent or disable any security or access control features of the Service. Use automated scripts, bots, or crawlers to access the Service except through our documented API and MCP integrations.

7. White-Label Terms

7.1 Subdomain Hosting

Certain subscription tiers include the ability to operate the Service under a branded subdomain (e.g., yourcompany.hostbase.ai). You are responsible for the content and operations conducted under your branded subdomain.

7.2 Custom Domain

Custom domain support is available as a premium add-on. When using a custom domain, you are responsible for DNS configuration and domain ownership. Hostbase provides SSL certificates for custom domains at no additional cost.

7.3 Branding Responsibilities

When using the white-label features, you represent the Service to your guests, property owners, and team members under your own brand. You are solely responsible for any representations, warranties, or commitments you make to third parties regarding the Service capabilities.

8. Intellectual Property

8.1 Hostbase Property

The Service, including its design, architecture, source code, algorithms, documentation, trademarks, and all related intellectual property, is and remains the exclusive property of Only Ventures LLC. These Terms do not grant you any ownership interest in the Service.

8.2 Feedback

If you provide suggestions, feature requests, or other feedback about the Service, you grant Hostbase a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback into the Service without obligation to you.

9. Service Availability

9.1 Uptime

We make commercially reasonable efforts to maintain high availability of the Service. However, we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, software updates, or circumstances beyond our control.

9.2 Modifications

We reserve the right to modify, update, or discontinue any feature of the Service at any time. For material changes that reduce functionality included in your current subscription tier, we will provide at least 30 days notice.

9.3 Third-Party Dependencies

Certain features of the Service depend on third-party platforms including OTAs, Channex, and cloud infrastructure providers. Interruptions, changes, or discontinuation of these third-party services may affect the availability or functionality of corresponding features in the Service. Hostbase is not liable for such interruptions.

10. Disclaimers

10.1 As-Is Basis

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10.2 No Guarantee of Results

We do not guarantee that the Service will produce any particular business results, increase your revenue, improve your occupancy rates, or achieve any specific outcome. Dynamic pricing recommendations, revenue analytics, and AI-generated insights are provided as tools to assist your decision-making and are not guarantees of performance.

10.3 OTA Accuracy

While we take reasonable measures to ensure accurate synchronization of rates, availability, and restrictions across connected OTAs, we do not guarantee that all data will be accurately reflected on every channel at all times. Rate discrepancies, sync delays, and OTA-side errors may occur. You are responsible for periodically verifying your listings on connected OTAs.

10.4 AI Limitations

AI-powered features, including dynamic pricing and operational recommendations, are algorithmic tools that may produce inaccurate, suboptimal, or unexpected results. You are responsible for setting appropriate guardrails (minimum and maximum rates) and reviewing AI-generated pricing before it is pushed to live channels.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Hostbase, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of profits, loss of business, loss of data, or loss of goodwill, arising out of or in connection with your use of or inability to use the Service, regardless of the theory of liability.

Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you to Hostbase during the twelve (12) months immediately preceding the event giving rise to the claim.

These limitations apply regardless of whether Hostbase has been advised of the possibility of such damages and regardless of whether any remedy fails of its essential purpose.

12. Indemnification

You agree to indemnify, defend, and hold harmless Hostbase and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of the rights of any third party, including guests, property owners, or OTAs; or (e) any content, data, or information you submit to or through the Service.

13. Termination

13.1 By You

You may terminate your account at any time by canceling your subscription through the Service or by contacting us at founders@hostbase.ai. Termination takes effect at the end of the current billing period.

13.2 By Hostbase

We may suspend or terminate your account immediately and without notice if: (a) you materially breach these Terms; (b) you fail to pay fees when due after a 14-day grace period; (c) your use of the Service poses a security risk or may cause harm to other users; or (d) we are required to do so by law.

13.3 Effect of Termination

Upon termination: (a) your right to access the Service ceases immediately or at the end of the paid billing period, as applicable; (b) Your Data will be available for export for 30 days; (c) after the 30-day export period, Your Data may be permanently deleted; (d) any outstanding fees become immediately due and payable.

13.4 Survival

Sections relating to intellectual property, limitation of liability, indemnification, governing law, and dispute resolution survive termination of these Terms.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.

14.2 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at founders@hostbase.ai and attempt to resolve the dispute informally for at least 30 days.

14.3 Arbitration

If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered in Sheridan County, Wyoming, in accordance with the rules of the American Arbitration Association. The arbitrator’s decision shall be final and binding.

14.4 Class Action Waiver

You agree to resolve disputes with Hostbase on an individual basis and waive any right to participate in a class action, class arbitration, or representative proceeding.

14.5 Exceptions

Either party may bring claims in small claims court if the claim qualifies. Nothing in this section prevents either party from seeking injunctive or other equitable relief for the protection of intellectual property rights.

15. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy and any applicable order forms, constitute the entire agreement between you and Hostbase regarding the Service.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.

Notices. We may send notices to the email address associated with your account. You are responsible for keeping your email address current. Notices to Hostbase should be sent to founders@hostbase.ai.

Force Majeure. Hostbase shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, power outages, internet disruptions, government actions, or failures of third-party services.
